The Birth of the Utah DAO Act
In a groundbreaking move, the Utah State Legislature recently passed the Utah DAO Act, providing a legal framework for Decentralized Autonomous Organizations (DAOs). According to Lemke, the main objective was clear: establish a comprehensive regulatory framework that nurtures the growth of DAOs. “It’s time for DAOs to stop hiding in the shadows of the blockchain!” he quipped during an interview.
How It All Came Together
It didn’t happen overnight, though. The task force convened regularly starting in the summer of 2022, examining global DAO laws for inspiration. Lemke described it as “ground zero” for drafting legalese that wouldn’t put anyone to sleep.

Not only that, but the concern over DAO anonymity also put a wrinkle in the legislative process. “Politicians weren’t too keen on trusting an anonymous entity. They needed to know there would be someone they could hold accountable,” Lee explained.
A New Era for DAOs in Utah
The Utah DAO Act offers several exciting benefits for DAOs, such as a new legal entity type known as the Limited Liability DAO (LLD).
